User Agreement

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Chichileta LLC, doing business as Receptionist LA ("Company," "we," "us," or "our"), with its principal place of business at 30 N Gould St #49325, Sheridan, WY 82801. By accessing our website or using our services, you agree to be bound by this Agreement.

1. Service Description

Receptionist LA provides an AI-powered virtual receptionist service for businesses, including but not limited to med spas, aesthetic clinics, dental practices, and wellness centers. Our service includes:

  • 24/7 automated phone call answering using artificial intelligence
  • Patient and customer inquiry handling
  • Appointment and consultation booking
  • Message taking and call routing
  • Call recording, transcription, and summary reporting
  • Dashboard access for managing your AI receptionist

2. Account Registration

To use our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into this Agreement on behalf of yourself or the business you represent.

3. Subscription and Payment

  • Our Starter Plan is billed at $699 per month and includes 1,500 minutes of active call time.
  • Enterprise Plans are available with custom pricing for businesses with higher volume or multi-location needs.
  • All payments are processed securely through Stripe.
  • Subscriptions automatically renew each billing cycle unless cancelled.
  • Additional minutes beyond your plan allowance may incur overage charges at the rate specified in your plan.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • No refunds are provided for partial billing periods or unused minutes.
  • We reserve the right to modify pricing with 30 days' advance notice.

4. Your Responsibilities

As a user of our service, you agree to:

  • Provide accurate and up-to-date business information for AI training and configuration
  • Review and approve the AI receptionist's configuration before going live
  • Promptly notify us of any changes to your business information, services, or operating hours
  • Ensure your use of our service complies with all applicable federal, state, and local laws and regulations
  • Not use the service for any illegal, fraudulent, deceptive, or harmful purposes
  • Not attempt to reverse-engineer, decompile, or disassemble any part of our platform
  • Not interfere with or disrupt the integrity or performance of our service

5. AI Limitations and Disclaimers

You acknowledge and agree that:

  • Our AI receptionist is designed to handle common business calls professionally, but it is not infallible. The AI may occasionally misunderstand callers, provide imperfect responses, or fail to handle complex or unusual situations.
  • The AI is not a substitute for professional medical, legal, financial, or other specialized advice. It provides general information based on the business details you supply.
  • We continuously improve our AI technology but cannot guarantee 100% accuracy in call handling.
  • You are responsible for reviewing call summaries and following up on any calls that require human attention.
  • We are not liable for any decisions made by callers based on information provided by the AI receptionist.

6. HIPAA and Healthcare Compliance

If you are a healthcare provider or operate a practice subject to HIPAA:

  • We will execute a Business Associate Agreement (BAA) with you prior to handling protected health information (PHI).
  • You are responsible for ensuring that the information and instructions you provide to configure your AI receptionist comply with HIPAA and applicable healthcare regulations.
  • We implement administrative, physical, and technical safeguards to protect PHI in accordance with the HIPAA Security Rule.

7. Intellectual Property

  • The Receptionist LA platform, AI models, software, website, branding, and all associated content are the intellectual property of Chichileta LLC and are protected by applicable copyright, trademark, and other intellectual property laws.
  • Your business data, call recordings, and customer information remain your property.
  • You grant us a limited, non-exclusive, revocable license to use your business information solely for the purpose of providing and improving our services.
  • You may not use our trademarks, logos, or branding without our prior written consent.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

9. Service Availability

We aim for 99.9% uptime for our AI receptionist service. However, we do not guarantee uninterrupted or error-free service. Temporary interruptions may occur due to:

  • Scheduled or emergency maintenance
  • Software updates and improvements
  • Third-party service outages (telephony, AI providers, cloud infrastructure)
  • Force majeure events beyond our reasonable control

We will use commercially reasonable efforts to notify you of planned downtime in advance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • RECEPTIONIST LA AND CHICHILETA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chichileta LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of our service
  • Your violation of this Agreement
  • Your violation of any applicable law or regulation
  • Any inaccurate or misleading business information you provide for AI configuration

12. Termination

  • By You: You may terminate your account at any time by canceling your subscription through your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period.
  • By Us: We may suspend or terminate your account immediately if you violate this Agreement, fail to pay amounts due, engage in fraudulent activity, or use the service in a manner that harms our platform, reputation, or other users.
  • Effect of Termination: Upon termination, your access to the service will cease. We will retain your data for 30 days following termination, after which it will be permanently deleted unless retention is required by law.

13. Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved as follows:

  • Informal Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
  • Arbitration: If informal resolution fails, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Sheridan County, Wyoming.
  • Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

15. Changes to This Agreement

We may modify this Agreement at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the service after the effective date of any changes constitutes your acceptance of the modified Agreement.

16. Miscellaneous

  • Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Chichileta LLC regarding the use of our services.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of our assets.
